Terms of Service

1. About Murray

Murray is a business-to-business customer relationship management and communication platform used by commercial trucking carriers to manage driver recruiting, dispatch communications, and applicant onboarding. The platform consolidates conversations from SMS, email, Meta Messenger, and Instagram Direct, and provides AI-assisted drafting and contact organization to authorized carrier staff.

Murray is offered by MurgEx and its affiliates, including VEB Lease, TMSFalcon, MyFuelDeals.com, and shop.veblease.com.

2. Who May Use Murray

Murray is intended for use by authorized personnel of commercial trucking carriers and their business partners. You must be at least 18 years old and authorized by your employer or organization to access Murray. By using Murray, you represent that you have this authorization.

Murray is not directed to consumers and is not intended for personal, family, or household use.

3. Your Account

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at the contact address below if you suspect unauthorized access.

4. Acceptable Use

You agree not to:

• Use Murray to send unsolicited commercial messages, spam, or any communication that violates the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, or similar laws
• Upload or transmit unlawful, harassing, defamatory, or fraudulent content
• Attempt to access data belonging to other carriers or users without authorization
• Reverse engineer, decompile, or attempt to extract the source code of Murray
• Use Murray to violate the terms of any third-party service we integrate with, including Meta Platforms (Messenger, Instagram), RingCentral, Google (Gmail), or other integrated providers
• Use Murray in any way that violates applicable federal, state, or local law, including regulations of the Federal Motor Carrier Safety Administration (FMCSA) or the Department of Transportation (DOT)

5. Communications and Consent

Murray facilitates communication with drivers, applicants, and business contacts across SMS, email, Meta Messenger, and Instagram. As a user of Murray, you are responsible for ensuring that:

• You have obtained all necessary consents from the recipients of your communications, including TCPA-required consent for SMS marketing
• Your use of Meta Messenger and Instagram complies with Meta's Platform Terms and Developer Policies
• Your use of SMS complies with applicable telecommunications regulations and carrier policies

You, not MurgEx, are responsible for the content of messages you send through Murray.

6. Applicant and Driver Data

Carriers use Murray to collect, store, and review documentation from driver applicants, including driver's licenses, medical cards, Social Security cards, and similar records. You represent that you have a lawful basis for collecting and processing this information and will handle it in accordance with applicable privacy laws, FMCSA regulations, and your own privacy commitments to applicants and drivers.

MurgEx acts as a data processor for carriers using Murray. Our handling of personal information is described in our Privacy Policy.

7. AI-Assisted Features

Murray includes AI-assisted features powered by third-party large language models (including Google Gemini). AI-generated drafts, suggestions, summaries, and extracted fields are provided as convenience tools and may contain errors or inaccuracies. You are responsible for reviewing AI-generated content before sending it to any recipient or relying on it for a business decision.

8. Third-Party Services

Murray integrates with third-party services including Meta Platforms, RingCentral, Google, Supabase, and others. Your use of those services through Murray is also governed by the respective providers' terms. We are not responsible for the availability, content, or practices of third-party services.

9. Intellectual Property

Murray, including all software, design, branding, and documentation, is owned by MurgEx LLC and its licensors. These Terms do not grant you any right to our trademarks, logos, or copyrighted materials beyond the limited right to use the platform.

Content you upload to Murray remains your property. You grant us a limited license to host, display, process, and transmit that content solely to provide the Murray service to you.

10. Service Availability

Murray is provided on an "as is" and "as available" basis. We do not warrant that the service will be uninterrupted, error-free, or free of harmful components. We may modify, suspend, or discontinue any part of Murray at any time.

11. Disclaimer of Warranties

To the maximum extent permitted by law, MurgEx disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that Murray will meet your specific requirements or produce any particular business outcome.

12. Limitation of Liability

To the maximum extent permitted by law, MurgEx's total liability arising out of or relating to these Terms or your use of Murray will not exceed the greater of (a) the amounts you paid us for Murray in the twelve months preceding the claim, or (b) one hundred U.S. dollars ($100). In no event will MurgEx be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits or lost data.

13. Indemnification

You agree to indemnify and hold harmless MurgEx, its affiliates, and their officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of Murray, your violation of these Terms, or your violation of any third-party right or applicable law.

14. Termination

We may suspend or terminate your access to Murray at any time for violation of these Terms, suspected misuse, or to protect the platform, our users, or third parties. You may stop using Murray at any time. Sections that by their nature should survive termination will survive, including sections 9, 11, 12, 13, and 16.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the Effective Date at the top of this page. Material changes will be communicated to active users by email or in-app notice where practical. Your continued use of Murray after changes become effective constitutes acceptance of the updated Terms.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or Murray will be resolved exclusively in the state or federal courts located in Alameda County, California, and you consent to the jurisdiction of those courts.
